Procedures and Requirements

Individual business or individuals wishing to register with the Government should firstly submit a letter of application to the Minister of Commerce and Industry stating proposed name, nature and location of the business.

The following requirements shall be obtained:

Sole Proprietorship:

- Notary Certificate;

- Prospectus of the Business;

- Official Revenue Receipt (foreign owned enterprise);

- Official Revenue Receipt (Liberia-owned enterprise) costs to be determined by the Ministry of Foreign Affairs.

Partnership:

- Probated Partnership Agreement

- Notary Certificate

- Properties Of Business

- Official Revenue Receipt

Corporation:

Articles of Incorporation to be processed through the Ministry of Foreign Affairs with a Revenue Stamp affixed and filling fees to be determined by the Ministry.
Registration fees are also determined by the Foreign Affairs Ministry.

For a Corporation established under the laws of Liberia, submission of authenticated copy of Memorandum of Association signed by the Incorporators is required;

For a Foreign Corporation: submission of documentary evidence of Incorporation and Power of Attorney duly notarized by the Prospectus; and Foreign companies must either have a registered agent residing in Liberia or a resident office.

Establishing A Business In Forestry

Any potential enterpreneur interested in investing in the Forestry sector of Liberia must apply in writing to the Managing Director of the Forestry Development Authority (FDA), Box 10-3010, 1000 Monrovia l0, Liberia -and include the following:

- Sketch map of the envisaged area

- Feasibility study based on sustained yield management of the area, and

- Description of the technical know-how, the equipment and financial resources including bank references, personnel listing, including two B.Sc. Liberians in general forestry.

Establishing A Business In Fisheries

- Obtain registration of domestic water craft from the Bureau of Maritime Affairs.

- Obtain a license from the Ministry of Agriculture and registration with the Ministry of Commence and Industry.

- Articles of Incorporation from the Ministry of Foreign Affairs.

- Inspection Fees (to be determined by the Bureau.)

- Classification of Vessel.

- Certification of Inspection issued after the above requirements have been met.

Establishing A Business In Mining:

All applications for the permission to prospect, mine, purchase, sell, import/export and otherwise deal in diamond and gold and other minerals in the Republic of Liberia, shall be made to the Minister of Lands, Mines and Energy.

- Letter of intent to the Minister of Lands, Minies and Energy

- Present most recent financial and performance documents on the Investor's activities around the world.

Establishing A Business In Oil Exploration

Registration of license with the Ministry of Foreign Affairs.

License Fees of US $5,000.00 to the Ministry of Finance

License Fees of US$3,000.00 to the Ministry of Lands, Mines and Energy
